Terms of service
1. Who we are
Ingot Supply, LLC, a California limited liability company ("we", "us"), provides UpfrontCheck, an online service that checks how prices and fees are shown on a business's own online checkout and keeps dated records of what was shown (the "Service").
The Service is for businesses. By creating an account you confirm that you are acting for a business (not as a consumer) and that you can accept these terms for it.
2. What the Service is, and what it is not
The Service records what an automated shopper sees on the pages you ask us to check and compares it with summaries of published rules. Our reports are factual findings, not legal advice. They do not say whether you comply with any law. We are not a law firm and no lawyer-client relationship is created. Rules may apply depending on where your customers live, not only where you are. Ask a lawyer about your situation.
The rule summaries and guides we publish are general information. They may be incomplete or out of date and are not a substitute for the law itself or for advice. A report saying "no issue seen" means only that the check did not find a fee outside the first price on the pages, dates and options it covered; it is not a statement that you comply with any law.
3. Your authorisation
You may only ask us to check checkouts that you own or operate, or that you are authorised to have checked on the owner's behalf. By submitting a page you confirm that authorisation and allow us to visit it with an automated browser at a reasonable pace. You are responsible for any permission needed from your booking, ticketing or e-commerce provider. If a provider blocks automated visits, we will not try to get around it.
You are responsible for any claim that arises because you asked us to check a page you were not authorised to have checked, and you will cover our reasonable costs of such a claim.
4. How we check
Our scanner visits pages as a shopper would. It never logs in, never types details into forms, never completes a payment and never bypasses CAPTCHAs or other bot protection. It may choose dates, quantities or a ticket type the way a shopper would, so the result reflects those choices. A person reviews each finding before a report is released to you.
5. Accuracy and limits
Prices, dates and pages change. A scan reflects only the pages, dates and selections it covered, at the time shown. We may miss fees or misread pages. You remain responsible for your prices, your disclosures and your compliance.
6. Fees and billing
Plans and prices are shown before you pay. Payments are processed by Stripe; we do not see or store card details. Quarterly and monthly plans renew automatically at the end of each period (every 3 months or every month) at the price shown when you subscribed, and you are charged on each renewal date until you cancel. Plans priced per listing are charged for the number of listings you chose. You can cancel at any time under Billing → Manage subscription; the plan then ends at the close of the paid period and is not charged again. We will tell you by email at least 30 days before any price change applies to your plan. A one-time audit is refunded in full if we have not yet delivered its report. Subscriptions can be cancelled at any time and stay active until the end of the paid period; paid periods are not refunded. Prices exclude any applicable sales taxes; the amount to pay is shown on the payment page before you confirm.
7. Your data and our records
We keep screenshots and page copies of the checked pages, with timestamps and fingerprints, so that reports can be verified later. See the privacy policy. You may ask us to delete your account and records, subject to records we must keep by law.
8. Acceptable use
Do not use the Service to check sites you are not authorised to have checked, to publish findings about others, to overload any website, or for any unlawful purpose.
9. Liability
To the extent allowed by law, the Service is provided "as is" and "as available", without warranties of any kind, including that it will find every fee or be free of errors. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. We are not liable for indirect or consequential losses, including fines, penalties, settlements or lost profits. Some places do not allow some of these limits; there, they apply only as far as the law allows.
10. Changes and termination
We may update these terms with notice by email at least 30 days before the change applies to you; if you do not agree, you can cancel before then. We may change or stop parts of the Service; if we stop a paid plan, we refund the unused part of the current period. You may stop using the Service at any time. We may suspend accounts that break these terms.
11. Governing law
These terms are governed by the laws of the State of California. Any dispute will be resolved in the state or federal courts located in Sacramento County, California. The Service is not offered to businesses in Quebec until a French version of these terms is available.
